1. Acceptance of Terms

By downloading, installing, or using BoringNote ("the App," "our App," "Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use the App.

2. Description of Service

BoringNote is a chat-style note-taking application that provides the following features:

• Chat-Style Note Creation: Create and save notes in a conversational chat interface
• Voice Input & AI Transcription: Record voice notes with automatic transcription using AI models including Apple Intelligence, OpenAI Whisper, and Parakeet
• Multi-language Support: Voice input support for 100+ languages
• Multimedia Notes: Save text, images, and voice recordings
• Category Management: Organize notes into customizable categories with pinning capability
• Quick Input Features: Create notes from toolbar or keyboard shortcuts without opening the main window
• Comments System: Add multiple comments to notes for additional context
• TODO Conversion: Convert notes into actionable TODO events and reminders
• Calendar Integration: View and manage events by date
• Custom Dictionary: Create custom word replacements to improve transcription accuracy
• AI Integration: Connect with AI services including ChatGPT, Google Gemini, Ollama, and LM Studio
• AI Processing: Post-process notes with AI using pre-defined or custom prompts (summarize, refine, generate to-do lists, write as email, etc.)
• Emoji Support: Insert emojis in your notes

3. User Accounts and Registration

To use certain features of the App, you may be required to create an account or connect third-party services. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

4. Third-Party Services

4.1 AI Transcription Services

The App integrates with third-party AI transcription services including:

• Apple Intelligence
• OpenAI Whisper
• Parakeet

Your use of these services is subject to their respective terms of service and privacy policies.

4.2 AI Language Model Services

The App allows integration with AI language models including:

• OpenAI ChatGPT
• Google Gemini
• Ollama (local models)
• LM Studio (local models)

You are responsible for obtaining necessary API keys, subscriptions, or licenses to use these services. We are not responsible for any costs, limitations, or issues arising from your use of third-party AI services.

5. User Responsibilities

You agree to:

• Use the App only for lawful purposes
• Not use the App to store, transmit, or share illegal, harmful, or offensive content
• Not attempt to reverse engineer, decompile, or hack the App
• Not use the App in any way that could damage, disable, or impair our servers or networks
• Respect intellectual property rights of others
• Comply with all applicable local, state, national, and international laws
• Be responsible for the content of your notes, voice recordings, and AI-generated outputs

6. Voice Recording and Transcription

When using voice input features:

• You are responsible for ensuring you have the right to record and transcribe audio
• You must comply with all applicable laws regarding audio recording and consent
• You acknowledge that AI transcription may not be 100% accurate
• You should review transcribed content for accuracy before relying on it

7. Intellectual Property

7.1 App Ownership

The App, including its design, features, code, and functionality, is owned by BoringNote and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain all rights to the content you create, including notes, voice recordings, images, and comments. By using the App, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

7.3 AI-Generated Content

Content generated by AI services (transcriptions, summaries, refinements, etc.) may be subject to the terms and conditions of the respective AI service provider.

8. Data Storage and Backups

While we strive to ensure data reliability:

• You are responsible for maintaining your own backups of important notes and data
• We are not liable for any data loss, corruption, or deletion
• We recommend regular exports of your important notes

9. Subscription and Payments

Certain features or services may require payment or subscription:

• Pricing and billing terms will be clearly disclosed before purchase
• Subscriptions may auto-renew unless cancelled before the renewal date
• Refunds are subject to our refund policy and applicable app store policies
• Third-party AI service costs are separate and your responsibility

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not guarantee uninterrupted, secure, or error-free operation
• We are not liable for any direct, indirect, incidental, consequential, or special damages
• We are not responsible for inaccuracies in AI transcriptions or AI-generated content
• We are not liable for issues arising from third-party services (AI providers, app stores, etc.)
• Our total liability shall not exceed the amount you paid for the App in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless BoringNote and its affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or voice recordings

12. Changes to the Service

We reserve the right to:

• Modify, suspend, or discontinue any part of the App at any time
• Update features, remove integrations, or change functionality
• Change pricing or subscription terms with reasonable notice

13. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes through the App or via email. Your continued use of the App after changes constitutes acceptance of the updated terms.

14. Termination

We may terminate or suspend your access to the App:

• If you violate these Terms
• If required by law
• At our discretion with or without notice

You may stop using the App at any time by uninstalling it.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BoringNote operates, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or use of the App shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration or court proceedings as a last resort

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and BoringNote regarding the use of the App.
